                                                                                                                TECHNICAL SUPPORT

(a) PHONE AND ONLINE TECHNICAL SERVICES:
 
  IP Clear Networks, Tech Support Team, and Staff may establish a secure connection between you and our servers or networks to establish a diagnostics on your computer and we may require additional software in order to properly diagnose such problems. IP Clear Networks, Tech Support Team and Staff may also require over the phone support to provide you with additional assistance that may be needed that could not be established during remote services. Additional charges may be applied for Phone Tech Support.  We'll attempt to provide proper diagnosis for your technical problem(s) and provide an estimate of all applicable service fees (plus applicable taxes), via chat and email.  However in certain situations, our Tech Support Team and Staff' diagnostics may not establish or complete a successful connection due to: problems within your computer, existing internet connection, hardware or software configuration that is beyond our control.

 (b) REMOTE SUPPORT REQUIREMENTS:

  Remote Support Services require a working Broadband Cable or DSL high speed Internet connection, your PC, ISP and/or network needs to be open for remote compliance and compatible with our servers and/or software that may be required for our Remote Support Diagnostics.  Most operating systems are compliant with our servers i.e Windows XP or newer, MAC OS X or newer, and Linux but it is required to have their security patches and kept up-to-date in order for our servers to provide a "Secure" and adequate connection to your system. IP Clear Networks protects the confidentiality of its customers' information, account information and personal communications. In order to secure information collected online, prevent unauthorized access, maintain data accuracy and ensure only appropriate use of information collected from customers. IP Clear Networks has implemented appropriate physical, electronic, and managerial procedures. Furthermore, IPClear Networks requires employees to keep customer information confidential. IPClear Networks cautions its customers and website visitors that no medium of communication, including the Internet, is entirely secure. Accordingly, IP Clear Networks cannot be responsible for any loss, corruption or unauthorized acquisition and use of personal information provided to our website and services, or for any damages resulting from such loss, corruption, unauthorized acquisition or unauthorized use. If you authorize to receive a remote session, our technicians will log in through your high speed internet connection to view your current desktop. You will see a live representative chat window providing you step by step instructions and you will be fully briefed on every step of such procedures which are needed until your problem is resolved.  By authorizing IP Clear Networks Tech Support Team or Staff remote support, you agree to the following: allow the use of whatever tools are necessary to repair your computer and there will not be any residual software from the remote sessions. IP Clear Networks Tech Support Team or Staff may leave a text file that will explain the previous remote session activities or the requested software install services from our technicians that have been installed on your computer. All of which may be deleted or uninstalled by the computer administrator.

 (c) SOFTWARE INSTALL SERVICES:

  Software Install Services may be offered to you by IP Clear Networks Tech Support Team and Staff, due to your authorization of Software Install Services, you are authorizing IP Clear Networks to add purhased software(s) prior to the uploads or downloads. Upon request IP Clear Networks Tech Support Team and Staff may redirect you to the softwares manufacturer website for their terms and conditions, detailed information about the downloaded or uploaded software prior to the installation. IP Clear Networks will add these so charges to the current payment method collected during your initial remote session start-up unless otherwise notified of other payment methods i.e Master, Vista, American Express, or Discover debit or credit cards.

 (d) YOUR RESPONSIBILITY:

  You understand and agree prior to contacting or allowing IP Clear Networks Tech Support or Staff, to establish connection and perform diagnostic repairs or other services on your computer. You shall have previously backed up existing data, software, or other information and files stored on your computer hard disks and/or any other media. This is in the sole responsibility of the party who initiate our services.

                                                                                           SERVICE LIMITATIONS; LIABILITY

 (a) LIMITATIONS TO SERVICE:

   IP CLEAR NETWORKS RESERVES THE RIGHT TO DECLINE FROM PROVIDING ANY OR ALL REQUESTED REMOTE SERVICES AND REFUND YOUR PAYMENT, IN WHOLE OR IN PARTIAL, ON THE BASIS THAT YOUR TECHNICAL SPECIFIC NEEDS OR OTHER REQUIREMENTS ARE UNUSUAL OR EXTENSIVE AND BEYOND THE SCOPE OF THIS SERVICE AGREEMENT AS REASONABLY DETERMINED BY IP CLEAR NETWORKS.

 (b) LIMITATIONS OR IMPAIRED LIMITATIONS
:

  If IP Clear Networks remote services are impaired by you or some of which circumstances that are beyond the control of our Tech Support or Staff Technicians, they may choose not to provide and disconnect our remote services.

 (c) LIMITATION OF LIABILITY:
 
  To the extent permitted by law, you agree that IP Clear Networks total liability for damages related by its Remote Services is limited to the total amount you paid for the initial remote services, and you released IP Clear Networks, IP Clear Networks Remote Support Staff and Technicians from liability for any indirect, incidental, special, or consequential damages. IPCLEAR NETWORKS IS NOT LIABLE FOR ANY LOSS, ALTERATION, SECURITY HOLES OR CORRUPTION OF ANY DATA OR FOR YOUR INABILITY TO USE YOUR COMPUTER EQUIPMENT OR OTHER PRODUCT.

 (d) SERVICE GUARANTEE WARRANTY:

 If at any time you are not satisfied during the first 30 days following the date you received our remote services, please contact us at 1-888-883-8693 anytime seven days a week as we will be glad to assist you with solving your problem. However, for repairs occurred by a virus, spyware, or hijacker, the warrant only applies and is valid only if the anti-spyware, anti-virus, and the firewall protection software is up-to-date and if it was installed or updated by our technicians. If the service was impaired, modified or altered during or after our technicians have performed their services this will void any and all warranties. If there shall be a problem within the service that IP Clear Networks Tech Support Team or Staff performed and you have informed us within the 30-day warranty grace period, IP Clear Networks will be gladly to resolved the problem quickly within a timely matter with no additional cost.


                                                                                           TELECOMMUNICATION SERVICES



(a). ELECTRONIC COMMUNICATIONS:

 When you visit IP Cear Network's websites or send Email to us, you are communicating with us electronically. You consent to receive communications from us electronically. We will communicate with you by Email or by posting notices on this site. You agree that all agreements, notices, disclosures and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.


(b) OFFER, ACKNOWLEDGMENT AND ACCEPTANCE

 Any prices, quotations and descriptions made or referred to on this Site are subject to availability, do not constitute an offer and may be withdrawn or revised at any time prior our express acceptance of your order. While we make every effort to ensure the accuracy of the items appearing on the site are available, we cannot guarantee that all items are in stock or immediately available when you submit your order. We may reject your order (without liability) if we are unable to process or fulfill it. If this is the case, we will refund any prior payment that you have made for that item. An order submitted by You constitutes an offer by You to Us to purchase the Product, Service and/or subscription on these conditions. At the time of such acceptance by IP Clear Networks an automatic e-mail acknowledgement of Your order will be generated. We may keep records of orders received, acknowledgements, acceptances and other contract records for a reasonable period after Acceptance. We may be able to provide You with copies on written request; however, You must make sure you print a copy of all such documents and these Conditions for your own records.

 All content on this site, such as text, graphics, logos, button icons, images, data compilations and software, is the property of IP Clear Networks and is protected by international copyright laws. The compilation of all content on this site is the exclusive property of IP Clear Networks and is protected by international copyright laws. All software used on this site is the property of IP Clear Networks and is protected by international copyright laws.

(d) SERVICES & CONDITIONS

 IP Clear Networks shall not be held liable for any delay or failure to provide service(s) at any time. In no event shall IP Clear Networks,  its officers, Directors, Employees, Shareholders, Affiliates, Agents or Providers who furnishes services to customer in connection with this agreement or the service be liable for any direct, incident, indirect, special, punitive, exemplary or consequential damages, including but not limited to loss of data, lost of revenue, profits or anticipated profits, or damages arising out of or in connection to the use or inability to use the service. The limitations set forth herein apply to the claimed founded in Breach of Contract, Breach of Warranty, Product Liability, Tort and any and all other liability and apply whether or not IP Clear Networks was informed of the likely hood of any particular type of damage. IP Clear Networks makes no warranties of any kind, written or implied, to the service in which it provides. By submitting an order, You automatically receive a 30-day or 600 minute trial period or which ever comes first.  Your trial begins immediately upon placing your order. You will be billed for all applicable sales, state, federal and E911 taxes & charges. You will be billed for a 2 year subscription on a month to month bases. Unless otherwise indicated by an IP Clear Networks management.  Prior to your expiration of the trial period, You may cancel your subscription by calling toll-free at 1-888-883-8693. Should you fail to cancel your subscription within the 30 day trial period or if you have exceeded above the 600 minutes, your 2 year service agreement will start immediately. Upon cancellation of your service, you are required to return the equipment post marked within your trial period to IP Clear Networks 731 E. Yosemite Ave. Suite B #131, Merced, CA  95340.  IP Clear Networks services are not intended for use as a primary telephone source for business or residential users. IP Clear Networks unlimited local DID (US & CA) packages are intended for residential use only. IP Clear Networks unlimited local DID packages include the use of 2 simultaneous channels and include a maximum of 4000 inbound minutes per month. IP Clear Networks retail accounts are limited to a maximum of 10 simultaneous inbound and outbound calls. These limits may be increased per request at the discretion of IP Clear Networks. IP Clear Networks does not allow calls originating from Payphones to toll free numbers on its network. Any call placed to Directory Assistance (411, 1-XXX-555-1212) including Toll Free numbers (1-800-555-1212) will incur a $0.99 per call charge as the call will be routed to our national Directory Assistance call center. At IP Clear Network's sole discretion, you may incur a port away fee for any DID number(s) leaving IP Clear Network's network as this is a pass-through charge from IP Clear Network's underlying carrier(s).  All calls placed through IP Clear Network's to network to US and Canada destinations are billed at 6 second increments unless otherwise stated.
All calls placed through IP Clear Network's to network to international destinations are billed at 6 second increments with a 30 second minimum unless otherwise stated.  Use of IP Clear Network's services for telemarketing, broadcast faxing, delivery of unauthorized or unsolicited advertising, promotional materials or solicitations is strictly prohibited. Failure to abide by these terms will result in immediate account termination. Customer agrees to the exclusive jurisdiction of the courts of Los Angeles County in the state of California in the United States of America for any and all legal matters.  Violation of any state or federal laws or laws for any other competent jurisdiction may result in immediate account termination and/or disconnection of the offending service.  IP Clear Networks reserves the right to terminate service at any time with or without notice; especially if Customer is found to be in violation of IP Clear Network's Terms & Conditions. You agree that IP Clear Networks shall not be liable to you or to any third party for any modification, suspension or discontinuance of service.  Due to the nature of this industry and high credit card fraud rate, IP Clear Networks reserves the right to request the following documentation for verification purposes; A copy of the credit card used to establish the account along with valid photo identification such as a Passort, Drivers License or other Government issued identification.

(e) BILLING AND PROCESSING


  You authorize IP Clear Networks affiliated staff, members and employees to initiate debit/credit entries to your bank deposit account or credit card as indicated upon sign-up and enrollment. This authority is to remain in full force and effect until you cancel your completed subscription.  If your payment is not collected by credit card within 30 days of the due date, your subscription will be either suspended. If you wish to cancel and not be billed, you must call toll-free at 1-888-883-8693. You expressly agree to the automatic monthly billing set forth herein. You expressly agree to honor all charges, early termination fees, unpaid balance or other fees due in association with your subscription.


(f) PRODUCT CONFIGURATION

  IP Clear Networks services are not intended for the novice user. IP Clear Networks does not offer technical assistance for third party devices. This includes PBX Servers/Switches, IP Phones and ATA Adapters.

(g) RETURNS, REFUNDS AND CANCELLATION POLICY

  You may cancel your subscription at any time by calling Customer Care at 1-888-883-8693 Monday through Friday 8:00 AM to 5:00 PM PST.  You may cancel your subscription at anytime during the initial 30-day trial or thereafter and all unpaid balances, applicable sales, state, federal, and E911 taxes & cancellation charges are non-refundable.  You explicitly agree to the following statement: " I UNDERSTAND THAT I MAY BE LIABLE FOR PAYMENT OF FUTURE GOODS AND SERVICES UNDER THE TERMS OF THIS AGREEMENT IF I FAIl TO NOTIFY IP CLEAR NETWORKS NOT TO SUPPLY SUCH SERVICES AS DESCRIBED."  We do not offer refunds for monthly subscriptions and Local DID's or Toll Free numbers. There will be no refunds for one-time/setup fees. (custom toll free numbers)

(h) SITE POLICIES, MODIFICATION & SEVERABILITY

  We reserve the right to make changes to our site, policies, and these Terms & Conditions at any time. If any of these conditions shall be deemed invalid, void, or for any reason unenforceable, that condition shall be deemed severable and shall not affect the validity and enforceability of any remaining condition.

(i) DISPUTE RESOLUTION

 You agree that any dispute fee will not be charged back to your credit card issuer. You expressly agree to submit in writing any objection regarding fees to 731 E. Yosemite Ave., Suite B #131, Merced, CA 95340.  IP Clear Networks, in it's sole discretion, shall determine the validity of your subscription and notify you of it's decision. Should you disagree with IP Clear Networks decision, you agree to mediate the dispute before litigation.  Please send reports of activity in violation of these Terms & Conditions to abuse@ipclearnetworks.com. IP Clear Networks will reasonably investigate incidents involving such violations. IP Clear Netowrks may involve and will cooperate with law enforcement officials if any criminal activity is suspected. Violations may involve criminal and civil liability.

<> 911 - Emergency call service typically used for delivering emergency calls to a public safety access point.

<> PSAP: Public Safety Answering Point

<> VoIP: Voice over IP

  Due to recent pursuant FCC rulings and regulations, All customers who are using IP Clear Networks services as their primary residential or business telephone carrier must activate 911 Emergency Services on at least one of their DIDs.  Enhanced 911, the portion of our 911 service which delivers physical address information to your local PSAP is not guaranteed. It is possible that your physical address information may not be passed to the PSAP dispatcher. On occasions such as this you will be required to give the dispatcher the location of your emergency in order to receive emergency service assistance.  Enhanced 911 service is not available to every location within the United States at this time. For locations e911 is not currently available; You will be required to announce the location of your emergency to the PSAP dispatcher.   Due to the nature and instability of VoIP networks, we cannot and do not guarantee your emergency call will complete. Loss of power, Internet access and or several other conditions may cause 911 to be inoperable. We have no control over those types of situations therefore are not held liable. IP Clear Networks will do everything within their power to prevent service outages within it's network.   In order for e911 address information to be passed to your local PSAP dispatcher, you must set your outbound caller ID value to the specific DID you are purchasing e911 service for. Therefore, by agreeing to these Terms & Conditions you the customer agree to set the outbound Caller ID number to the DID you have enabled e911 services for when making an outbound 911 emergency call. Failure to set the correct caller ID value will result in a non-refundable $85 surcharge per 911 call.  By using IP Clear Network's Enhanced 911 service, Customer agrees that IP Clear Networks, it's contractors, executives, members, customers, agents, employees, carriers, 911 providers, and any anyone else associated with IP Clear Networks is not held liable for emergency calls failing, even if it is determined that it is the fault of IP Clear Networks or it's associates. Customer further agrees that they will notify their Customers, contractors, agents, employees, associates, shareholders, partners, and anyone who may use the IP Clear Networks 911 service of our limitations and make Customers agree to not hold IP Clear Networks or Customer liable.  Customer will be charged a regulatory recovery fee of $2.50 per month for each DID submitted to the e911 database. This fee is non-refundable. Failure to enable e911 service will result in a non-refundable $85 surcharge per 911 call.
